Welcome to CellySheets. By accessing or using our application, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

1. Use of the Service

CellySheets provides a collaborative spreadsheet application. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree not to use the service for any illegal or unauthorized purpose.

2. Your Content

You retain full ownership of all data, text, information, and documents ("Content") you create or upload to CellySheets. By using the service, you grant us a limited, secure license strictly to host, store, and process your Content to provide the service to you and your authorized collaborators.

3. Subscriptions and Billing

CellySheets offers Free, Pro, and Team plans. Paid plans are billed on a recurring monthly basis via our payment processor. Subscriptions can be canceled at any time through the application dashboard. Cancellations take effect at the end of the current billing cycle. We do not offer refunds for partial months.

4. Organization Roles & Audit Logs

If you create or join a Team Organization, you agree that Organization Owners and Admins have control over the workspace, including the ability to add/remove users, change roles, and view audit logs of your activity within the Organization.

5. Disclaimer of Warranties

The service is provided on an "as-is" and "as-available" basis. While we strive for 100% uptime and mathematical accuracy, Hamilton-Daynes Solutions makes no warranties, expressed or implied, regarding the reliability, accuracy of formulas, or availability of the service.

6. Limitation of Liability

In no event shall Hamilton-Daynes Solutions, nor its directors, employees, or partners, be liable for any indirect, incidental, special, consequential or punitive damages, including loss of profits, data, or goodwill, arising out of your access to or use of the service. Your sole remedy for dissatisfaction is to stop using the service.

7. Governing Law

These Terms shall be governed and construed in accordance with the laws of British Columbia and the federal laws of Canada applicable therein, without regard to its conflict of law provisions.

8. Changes

We reserve the right to modify or replace these Terms at any time. We will provide notice of any material changes via email or an in-app notification.
